# General Terms and Conditions

**Version 1.1 — in force since 19 July 2026.**

These terms are the contract between you and us. Read them: they are written to be understood.

## 1. Who is selling to you

Tranquilia is a service of:

**GRAC SA**
Company limited by shares under Swiss law
Registered office in Morges, canton of Vaud (Switzerland)
IDE/UID **CHE-107.970.006**
Entered in the Commercial Register of the canton of Vaud

In this text, "we" means GRAC SA. "You" are the accountancy firm or the company taking out the service. "Tranquilia" is the application, available at `tranquilia.es` and on your instance subdomain.

## 2. What you are contracting for

You are taking out a **licence to use a cloud-based program (SaaS)**. Tranquilia helps you prepare and maintain the data protection documentation of your client companies.

What we give you:

- access to your Tranquilia instance over the internet;
- the guided questionnaire, the documents it generates and their storage;
- the AI features, when they are switched on;
- updates to the service.

**We are not selling you the program.** We give you the right to use it for as long as the contract lasts.

**Tranquilia is not a law firm and it is not a certification.** The documents it generates are working drafts. You decide whether they are good enough for your case. A report produced with Tranquilia is not an official certification and it is not a legal opinion.

## 3. We only sell to businesses

Tranquilia is sold **only to professionals** (B2B).

By taking out the service you declare that:

1. you are acting within your professional or business activity;
2. the person entering into the contract can bind the company;
3. the **NIF** (tax identification number) you give us is real and is in your name.

The NIF is mandatory. We check the intra-EU VAT number (NIF-IVA) in VIES at the time of purchase.

If you are not a professional, you cannot buy. As there are no consumers, **there is no right of withdrawal**. Nor is there a money-back guarantee (section 12).

That is why the free plan has no time limit: try it thoroughly before you pay.

## 4. Free plan

The free plan includes:

- **2 client companies** per instance;
- **all the features**, the same ones as in the paid plans;
- **no time limit**;
- **no bank card**.

It is not a cut-down version and it is not a demo. It is the whole product, with 2 companies.

When we create your instance we give you **€5 of AI credit** (section 8). That gift is tied to verifying that your company really exists.

## 5. Plans and prices

All prices are in **euros (EUR)** and per instance.

**Ultimate is annual.** It has no 3-year option.

The 3-year options are paid **in full and in advance**, in a single payment. They cover 3 years from activation.

### Additional companies

You can go beyond your plan's quota by paying **€10/year per additional company**.

- Standard: from company 11 onwards.
- Premium and Ultimate: from company 31 onwards.
- They are bought one at a time or in batches from "Settings → Licence". They are activated instantly.
- All add-ons are aligned with the **anniversary date of your main licence**. If you buy one mid-year, you pay the pro rata amount up to the anniversary. After that everything renews together, on a single invoice.

An additional company is created **once payment has been made**. There is no grace period. Whatever you have already typed into the form is saved while you pay.

### Changing plan

- **Moving up from Standard to Premium mid-year**: we deduct the time remaining on your Standard plan from the price of Premium. The calculation is done to the day. We show you the breakdown before you pay and it appears on the invoice.
- **Moving down a plan**: takes effect at renewal. We never refund money automatically.

### Future prices

We may change our prices. The new price applies **at your next renewal**, never to the period you have already paid for. We notify you before that renewal arrives (section 19).

## 6. White label and your own domain (Ultimate)

With Ultimate you use **your own domain** instead of the instance subdomain. You create a CNAME pointing to the platform; we set up the server and the TLS certificate. We guide you step by step in the app.

We check that the domain is yours before activating it. You register the domain yourself, with your own registrar, and you pay for it. This licence does not include the purchase of the domain.

Under white label, your end clients do not see the Tranquilia brand on the PDFs or in the emails. Mandatory legal notices are still kept.

## 7. How you pay

- You pay with **PayPal**. It is the only payment method for now.
- Annual licences run on a PayPal subscription. The 3-year payments are one-off payments.
- **No card number passes through our systems.** Everything happens at PayPal.
- Once payment is confirmed we generate your licence key and your invoice and send them to you by email. It is automatic.
- You accept PayPal's terms with PayPal, not with us.

We may add other payment methods later. If we do, we announce it in the app.

## 8. AI credit

The AI features in your instance run on a **credit wallet** in euros.

- We give you **€5** when the instance is created.
- You can **top up** whenever you like, in one click, with PayPal. The available amounts are shown in the app.
- Each use of AI deducts from the balance the **actual provider cost plus our margin**. The scale is the same for the free credit and for top-ups.
- You can always see your balance and your usage in "Settings → Artificial Intelligence".
- We notify you at 80% and at 100% of your credit, in the app and by email.
- **When the credit runs out, the AI features switch off.** Nothing else. The app keeps working 100% without AI: every AI feature has its non-AI alternative.
- The credit **belongs to your account and is not refunded in cash**.
- **BYOK**: you can enter your own OpenRouter key in the advanced panel. The AI then runs on your key, at your expense, and we do not deduct any credit.

AI helps, it does not decide. The texts it generates are drafts: review them before you use them.

## 9. Invoices and VAT

Every payment generates an **official PDF invoice** in the name of GRAC SA. You have it in your own area, under "My invoices", and it reaches you by email.

**VAT:** GRAC SA provides the service from Switzerland to Spanish and EU businesses. That is why:

> Service supplied from Switzerland. Transaction not subject to Spanish VAT at source — the recipient must self-assess the VAT (reverse charge, art. 84 LIVA).

In plain terms: **we do not charge you VAT. You declare the VAT** in your own country. That is the reason the NIF is mandatory and the reason the sale is B2B only.

We keep invoices for **10 years** (art. 958f of the Swiss Code of Obligations). This is a Swiss accounting obligation and it applies even if you delete your account.

If we refund a payment, we issue a **corrective invoice** referencing the original one.

## 10. Term and renewal

- The free plan **does not expire**.
- Annual licences last **1 year** and **renew by themselves** for another year.
- The 3-year licences last **3 years** and renew by themselves when they end.
- We notify you of the renewal **30 days, 7 days and on the day itself** of expiry.

If you do not renew, **we do not lose your data**: you go back to the free plan (section 11).

## 11. Cancel in 2 clicks

You cancel from your account, **in 2 clicks**. Without calling anyone, without writing an email, without explanations.

What happens when you cancel:

1. **Your licence stays active until the end of the period you have already paid for.** We do not cut anything off early.
2. **We do not refund the money for the current period**, neither for one year nor for 3 years.
3. When expiry arrives, you go back to the **free plan**, calmly:
   - your **first 2 companies stay active** and editable;
   - the rest become **read-only**;
   - **you can export everything, always**.

**We never hold your data hostage.** Not when you cancel, not when you go over quota, not if you stop paying.

If you take out the service again, everything is reactivated where you left it.

## 12. Refunds

**There is no money-back guarantee.** We do not offer one and we do not hide it in the small print: the free plan, with 2 companies, all the features and no time limit, exists precisely so that you can try before you pay.

We may refund a payment **case by case, if it seems fair to us**. That is a decision of ours, not a right of yours.

This does not affect the mandatory rights granted to you by the law of your own country (section 20).

## 13. If a payment fails

1. We notify you the same day.
2. We retry it **once a day for 10 days**.
3. If it is still unpaid on day 10, your instance becomes **read-only**: you see your data and export it, but you do not edit. Nothing is deleted.
4. It stays read-only until you settle the payment.

## 14. What we guarantee and what we do not

We take professional care to make Tranquilia work and to keep its legal templates up to date.

What we do **not** guarantee:

- that Tranquilia will make you comply with the GDPR. Compliance depends on what you and your clients do, not on a program;
- that the generated documents will be good enough for any case without reviewing them;
- that the service will run without any fault or interruption;
- that the AI will always get it right. It is AI: it makes mistakes.

You are answerable for:

- the truthfulness of what you enter;
- having the right to process the data you upload;
- reviewing the documents before you use them with your clients;
- keeping your access credentials and your licence keys safe.

If you find a defect, tell us and we will correct it within a reasonable time. This is a **best-efforts obligation**.

## 15. Availability

We work to keep the service available and fast. This is a **best-efforts obligation**.

**We do not commit to any availability percentage or to any SLA.** We do not promise one here or on any other page. We would rather not promise a figure than promise it and let you down.

We may stop the service for maintenance. When it is planned, we give notice beforehand and we do it at low-usage hours.

## 16. Liability

We are liable, without limit, for the damage we cause you through **wilful misconduct or gross negligence**. This cannot be excluded by contract (art. 100 of the Swiss Code of Obligations) and we do not exclude it.

Beyond that, and to the extent that Swiss law permits:

- our liability for slight negligence is **limited to the amount you have paid us in the 12 months preceding** the event causing the damage;
- we are not liable for loss of profit, loss of clientele or indirect damage;
- we are not liable for the loss of data that you can avoid by exporting it: full export is always available and free of charge;
- we are not liable for the failures of third parties outside our control (your connection, your email provider, PayPal), nor for force majeure.

If you use the free plan, we are equally liable for wilful misconduct and gross negligence.

## 17. Intellectual property

**Ours:** the Tranquilia program, its code, its design, its legal templates, its brand and its documentation. They belong to GRAC SA or to whoever licensed them to us. We give you a right of use that is **non-exclusive, non-transferable and limited to the term of the contract**.

You may not copy the code, reverse-engineer it (except as the law permits without allowing agreement to the contrary), resell access, or transfer your licence to another accountancy firm without our written agreement.

**Yours:** your data, your clients' data, your logo and your brand. They remain yours. We only use them to provide you with the service. The documents you generate with Tranquilia are yours and you use them with your clients without paying us anything more.

You give us permission to use your logo and your colours **inside your own instance**, for your white label. Nothing more. **We do not publish your name as a client without asking you in writing.**

## 18. Suppliers we use

To provide you with the service we work with these companies:

| Hosting provider, **in the European Union** | Servers and your instance |

That the servers are **in the European Union** is confirmed and you can rely on it. The specific name of the hosting company and the data centre are not fixed in writing yet, so we do not publish them: if you need them for an annex to your contract, ask for them and we will confirm them to you in writing.

We may change supplier or add others. If the change affects the processing of personal data, we tell you beforehand and you can object by cancelling the contract under section 11.

Which data each one handles, where it is and under what safeguards, is set out in the **Privacy Policy** and in the **processor agreement (art. 28 GDPR)** that we offer you.

## 19. Changes to these terms

We may change these terms. When we do:

- we notify you by email and in the app **30 days in advance**;
- if the change does not suit you, you cancel under section 11 before it takes effect, with no penalty;
- the new terms do not change the price of the period you have already paid for.

We keep the previous versions and you can consult them.

## 20. Governing law and courts

This contract is governed by **Swiss law**, excluding its conflict-of-laws rules and the Vienna Convention on Contracts for the International Sale of Goods.

The **exclusive place of jurisdiction is Morges, canton of Vaud (Switzerland)**.

**With one important caveat:** you are a company from another country, and this agreement **does not take away the mandatory rules of your own country** that apply to you despite this clause. If a mandatory Spanish or European rule protects your position, it continues to apply. In data protection matters, the GDPR applies in any event.

If a court annuls any clause of this contract, the rest remains in force.

## 21. Language

These terms are published in full in **Spanish, Catalan, Galician, English and French**.

**Spanish is the original version and the one that prevails.** If a translation says something different, **the Spanish text prevails**. We translate so that the terms are understood, not to multiply the contract by five.

In **Basque** we do not publish it yet. If you are browsing in Basque, the footer link takes you straight to the Spanish version — the one that prevails anyway — instead of leaving you on a page that does not exist. We would rather tell you than deliver a half-translated contract: a text that binds is either translated properly or not translated at all.

## 22. An honest note

We are a Swiss company selling a GDPR tool to Spanish accountancy firms. We hold ourselves to the same standard we ask of you:

- we do not promise you figures we cannot meet;
- we do not hold your data back;
- we do not hide the price from you;
- you cancel in 2 clicks, without speaking to anyone.

If anything in this text is not clear, tell us. We will rewrite it.
